1. DIGITAL EXECUTION OF TERMS & MEMBERSHIP INTENT
By initiating an online subscription registration, executing a digital checkout, or accessing the website (www.jetup.aero) and its associated mobile terminals, the User (comprising Individual B2C Clients and B2B Aircraft Operators) explicitly agrees to be legally bound by these Terms of Service. The execution of an online subscription and payment forms a preliminary digital intent; full infrastructure activation remains strictly conditional upon the secondary execution of independent, customized bilateral agreements and rigorous multi-jurisdictional compliance screening.
2. THE MULTI-TIERED ONBOARDING & MANDATORY VERIFICATION PROTOCOL
2.1 INDIVIDUAL B2C MEMBER ONBOARDING & SECURE IDENTITY VERIFICATION (KYC)
Every individual client executing a Premium Private Membership subscription must complete the mandatory automated Know-Your-Customer (KYC) matrix inside the JETUP node.

Mandatory Documentation: Individual users must upload an unredacted, high-resolution copy of an official Government-Issued Photo ID Card or International Passport immediately following digital checkout.

Biometric Synchronization: JETUP reserves the absolute right to employ automated third-party facial recognition and biometric liveness tracking to cross-match the uploaded identification against international secure repositories.

Sanction List Screening: All individual profiles are algorithmically cross-referenced against global anti-money laundering (AML) databases, international counter-terrorism financing (CTF) protocols, and active UK (HMRC), US (OFAC), and EU restrictive sanction registries.
2.2 B2B AIRCRAFT OPERATOR ONBOARDING & COMMERCIAL COMPLIANCE AUDITING (KYB)
Every commercial aircraft carrier executing an Operator Fleet Subscription must pass the mandatory Know-Your-Business (KYB) compliance threshold.

Corporate & Commercial Validation: The Operator must upload verifiable incorporation certificates, active commercial registry filings, tax node documents (including active UK VAT data where applicable), and certified copies of Beneficial Owner (UBO) identification.

Aviation Technical Verification: Absolute system listing is strictly subject to the manual verification of the Operator's active Air Operator Certificate (AOC), Certificate of Insurance (COI) providing global third-party liability coverage, and real-time integration validation through elite auditing databases, including WYVERN ACES tracking permissions.
3. THE TWO-STEP CONTRACTUAL RATIFICATION SEQUENCE
STEP 1: ONLINE DASHBOARD SUBMISSION & SUBSCRIPTION SETTLEMENT
The User completes the digital registration form, selects their desired membership tier, and successfully executes the transaction gateway checkout (via Stripe credit/debit card matrix or manual bank wire transfer).
STEP 2: THE 14-DAY MANDATORY INDEPENDENT CONTRACT EXECUTION GATEWAY
The financial checkout completed in Step 1 DOES NOT grant instantaneous or permanent network deployment access.

The Independent Master Contract Clause: Following successful fund clearance, the User shall be automatically issued a specialized, legally binding bilateral master document (e.g., JETUP Master Charter Operator Agreement for B2B operators, or Premium Flight Services Jet Card Agreement for B2C clients) via our secure corporate electronic signature network (DocuSign/SignWell node).

The Strict 14-Day Completion Deadline: The User must fully execute, sign, and electronically return this independent master agreement—including the attachment of all authenticated corporate credentials—strictly within fourteen (14) calendar days from the initial date of digital online form submission.

Automatic Nullification and Processing Forfeiture: If the User fails to sign the independent master contract or fails to pass the background verification metrics within this strict 14-day window, JETUP LTD reserves the absolute right to automatically void the digital registration profile, terminate platform access, and declare the application legally null and void without further notice or judicial intervention.
4. NATURE OF NETWORK SERVICES (TRAVEL INTERMEDIARY DISCLAIMER)
JETUP LTD operates exclusively as a specialized Software-as-a-Service (SaaS) technology infrastructure, travel agency node, and global digital charter broker.

Aviation Framework: JETUP LTD is not an indirect or direct air carrier, does not own, lease, or maintain a fleet of aircraft, and does not operate flights. All commercial air charter transport services are performed exclusively by third-party certified direct air carriers holding valid, unrevoked Air Operator Certificates (AOC).

Hospitality & Concierge Integration: All luxury accommodation bookings, five-star hotel inventory access, and VIP ground logistical transfers are fulfilled entirely by certified third-party supplier nodes. JETUP LTD acts strictly as a professional intermediary coordinator and technology broker.
5. LIABILITY EXCLUSION FOR REGULATORY & THIRD-PARTY DELAYS
Because JETUP LTD relies on external multi-jurisdictional verification infrastructure, JETUP LTD assumes zero liability, corporate responsibility, or financial risk for any extended processing delays, network backlogs, or access rejections caused by third-party entities. This includes, but is not limited to, delays originating from national Civil Aviation Authorities (CAA), global security screening nodes, third-party aviation compliance databases (such as WYVERN), international banking intermediary clearing channels, or global credit card underwriting networks. Subscription activation timelines (typically 14-21 business days post-verification) are estimated and non-binding during third-party regulatory holdovers.
6. DATA SECURITY, COMPLIANCE & LEGAL JURISDICTION

Data Protection & Encryption: All uploaded identification records, AOC files, corporate documentation, and banking details are processed under rigid end-to-end encryption protocols in strict compliance with the United Kingdom General Data Protection Regulation (UK GDPR), monitored under our active registration with the Information Commissioner’s Office (ICO Reference: ZC130958).

Governing Law: These Terms of Service, along with all associated digital registration transactions, are governed exclusively by the laws of the United Kingdom. Any legal disputes, procedural controversies, or enforcement claims shall be subject to the exclusive jurisdiction of the competent courts of the United Kingdom.
